About Us:

COFA, Primarily a (Not-for-Profit) ‘farmers support and resource organization’ established in the year 2007 aim to enhance the livelihoods (options) and life quality of ecologically and socially distressed Smallholder Farming Households (SFH) from the rain-fed cotton growing regions in India through reducing vulnerability at various levels and promoting ‘Agro-ecological Agriculture’ based on the three principles of sustainability (Social, Environment and Economic). Started as a small ‘Organic & Fair Trade Cotton Supply Chain Intervention Pilot Program’ in 2004 with 234 SHFH from 6 ecologically distressed districts in the two regions of North-western Telangana and Vidarbha in Southern Maharashtra supported by 15 staff, Chetna today has emerged as a ‘one of its kind model’ in the ‘Sustainable Agriculture’, Natural Resources Management (NRM) and ‘Organic & Fair Trade’ space in the country with nearly 36,000 SFH (predominantly tribal) practicing sustainable agriculture practices in more than 100,000 acres and organized into ~2,000 farmer groups from over 500 villages spread across 10 districts in the three rain-fed regions of Northern Telangana, Southern Maharashtra (Vidarbha) and Odisha.

COFA implements various medium to large-scale development projects in the three regions on livelihoods /watersheds /organic farming /wasteland agriculture development /agro-forestry /diversified based irrigation /food security /enterprise development /certification support /socio-technical research and also further acting as a technical resource agency. For project implementation, COFA generates its income and resources from like-minded donor funding that is a mix of traditional donors, private CSR philanthropists, Govt. Agencies, Inter-Governmental 

Job Description:

The Company Secretary is responsible for ensuring legal compliance, corporate governance, and effective communication between the company and its stakeholders.

• Stay updated on relevant laws, regulations, and guidelines related to FPOs in India.

• Ensure compliance with SEBI (Securities and Exchange Board of India) regulations, Companies Act, and other relevant laws governing FPOs.

• Collaborate with various departments within the organization, including finance, legal, and compliance, to plan and execute the FPO process effectively.

• Coordinate with external agencies, such as legal advisors, auditors, and regulatory authorities, to ensure smooth compliance with FPO requirements.

• Draft necessary documents, including the Draft Red Herring Prospectus (DRHP) and other legal agreements required for the FPO.

• Review legal documents to ensure accuracy, completeness, and compliance with regulatory requirements.

• Organize and conduct board meetings to obtain necessary approvals for the FPO.

• Coordinate with the Registrar of Companies (RoC) to convene and conduct shareholders' meetings, ensuring compliance with legal formalities.

• Serve as a liaison between the company and regulatory authorities, ensuring timely submission of required documents and responses to queries.

• Communicate with shareholders and other stakeholders, providing them with necessary information regarding the FPO and addressing any concerns they may have.

• Maintain accurate and up-to-date records related to the FPO process.

• Ensure that all documentation is in order for regulatory inspections or audits.:

• Monitor and report on the company's compliance with post-FPO obligations, including disclosures and reporting requirements.

• Implement and oversee internal controls to ensure ongoing compliance with securities regulations.

• Identify potential legal and regulatory risks associated with the FPO and implement strategies to mitigate these risks.

• Advise the board and senior management on legal and compliance-related matters.

• Ensure adherence to corporate governance principles and best practices during the FPO process.

• Assist in the formulation and implementation of policies to enhance corporate governance.

• Stay updated on developments in corporate law, securities regulations, and corporate governance practices.

A competent Company Secretary is crucial for the success of an FPO, ensuring that the company complies with all legal and regulatory requirements while maintaining effective communication with stakeholders.

Educational Qualifications & Other Skills.

• Company Secretary (CS) issued by Institute of Company Secretaries of India (ICSI)

• Bachelor’s degree in any relevant subject with good proficiency in English writing and talking skills.

• In addition to the formal education and training, practical experience is crucial. This involves gaining hands-on experience in various functions related to corporate law, compliance, governance, and secretarial practices.

• Company Secretaries are required to engage in continuous professional development by participating in relevant seminars, workshops, and other training programs to stay updated on changes in laws and regulations.

• Strong communication and interpersonal skills are essential for a Company Secretary, as the role involves liaising with various stakeholders, including board members, regulatory authorities, and other professionals
